II. Legal provisions on complaints in product distribution

Vietnamese law provides relatively comprehensive regulations on the responsibilities of business organizations and individuals in handling complaints, aiming to protect consumer rights. These are primarily stipulated in the Law on Protection of Consumer Rights 2023 (effective from July 1, 2024) and the Law on Commerce 2005.

1. What are complaints in product distribution?

Complaints in product distribution refer to requests made by consumers (or buyers in commercial relationships) for sellers or distributors to review and resolve issues arising in relation to product quality, quantity, delivery, or after-sales service commitments associated with distributed products.

From a legal perspective, Clause 7, Article 4 of the Law on Protection of Consumer Rights 2023 provides that consumers have the right to file complaints, denunciations, or initiate lawsuits in accordance with the law to protect their lawful rights and interests. It constitutes a fundamental right of purchasers.

2. In what circumstances do complaints typically arise?

Complaints in product distribution commonly arise from:

  • Products failing to meet descriptions, having technical defects, being expired, or causing damage, as provided under Clause 5, Article 4, and Articles 33 and 34 of the Law on Protection of Consumer Rights 2023.
  • Unprofessional or disrespectful conduct by staff, along with errors in payment processes such as incorrect pricing or electronic transaction failures, according to Clause 4, Article 4 and Article 10 of the Law on Protection of Consumer Rights 2023.
  • Failure to provide proper invoices in accordance with Clause 2, Article 4 and Clause 1, Article 21 of the Law on Protection of Consumer Rights 2023.

3. What are the procedures for handling complaints in product distribution?

With general legal principles on complaints and consumer protection, the procedures include receiving complaints through various channels, followed by verification and assessment based on evidence and applicable legal provisions, particularly those relating to product quality, commercial transactions, and customer service as set out in the Law on Protection of Consumer Rights 2023 (e.g., Article 4 on the right to claim compensation and Article 36 on service responsibilities).

Subsequently, the parties may propose and implement solutions such as returns, repairs, compensation, or formal apologies. If no agreement is reached, the complaint may be addressed in accordance with the Law on Complaints 2011 (where administrative acts are involved) or through other dispute resolution mechanisms, ensuring compliance with principles such as timeliness, objectivity, fairness, and protection of lawful rights and interests of relevant parties.

1. What evidence is necessary for resolving complaints?

To resolve complaints effectively, the following evidence is typically required:

  • Proof of transaction, including purchase date, value, and product information.
  • Photos or videos showing defects or damage to the product.
  • Warranty documents or user guidance demonstrating warranty terms and conditions.
  • Formal written complaint clearly stating claims and legal grounds.
  • Delivery and acceptance records confirming the product condition at the time of receipt.

Under Article 86 of the Civil Procedure Code 2015, evidence refers to factual materials collected in accordance with legal procedures and used by the court to determine objective facts of a case.

3. Does a distributor have the right to refuse to handle complaints?

Under the Law on Protection of Consumer Rights 2023, consumers have the right to request resolution of issues related to products and services, and business entities (including distributors) are obligated to receive, review, and resolve such requests.

Specifically, Article 56 requires distributors to receive negotiation requests, while Article 57 outlines procedures for negotiation, including the obligation to provide written responses and clearly state reasons for refusal. Unjustified refusal may constitute a violation of consumer protection laws.

Enterprises may be subject to administrative sanctions for failing to receive complaints. Decree No. 98/2020/ND-CP provides for administrative sanctions in commercial activities, including violations related to consumer protection.

Acts such as failing or refusing to receive consumer requests for negotiation without legitimate grounds may be subject to penalties under Article 61 and Article 52 of this Decree, depending on the nature and severity of the violation.
