I. Common legal risks associated with data transfer upon software handover

Some common legal risks related to data transfer during software handover include:

  • Loss, alteration, or damage of data during the transfer process due to technical errors or inadequate security measures.
  • Breach of confidentiality, disclosure of trade secrets or personal data, leading to legal liabilities for the provider.
  • Absence of a data handover record, causing difficulties when disputes arise.
  • Failure to clearly stipulate responsibilities for data inspection and verification, resulting in blame shifting between the parties.

II. Understanding data transfer during software handover

Data transfer is a crucial step to ensure that the software system operates smoothly and that customer information is preserved after handover.

1. Is there a legal right to request data transfer upon software handover?

Article 385 of the Civil Code 2015 defines a contract as an agreement on the transfer of rights, obligations, and assets. 

Data is regarded as an intangible asset; thus, the purchaser or recipient is legally entitled to request the provider to hand over all relevant data.

2. Is it necessary to prepare a handover record for data transfer upon software handover? 

There is currently no statutory requirement mandating a written record when transferring data upon software handover. However, such a record is highly recommended because it serves as legal evidence establishing the scope of handover, status of the delivered product, and the parties’ commitments.

III. Legal regulations relevant to data transfer upon software handover

Vietnamese law provides various regulations governing data transfer, especially within the digital environment.

1. How must the data transfer process be stipulated in the contract?

The data transfer process must be clearly defined in the contract, including: Scope of data, transfer method, verification timeline, security measures, and responsibilities of each party. According to Article 398 of the Civil Code 2015, the contract must set out all terms relating to the subject matter, quality, and method of performance.

2. Who takes responsibility for data accuracy during software handover?

The software provider is responsible for data accuracy until the handover is accepted. According to Article 30 of the Law on Consumer Protection 2023, service providers must ensure service quality and act truthfully during provision and delivery.

3. Can compensation be claimed if data is lost or corrupted during transfer?

If data is lost or damaged during the transfer process, the recipient may request the provider to assume liability and pay compensation. The liable party must compensate for all damages, including material loss and reputational harm (Article 585 Civil Code 2015).

IV. Questions about data transfer upon software handover

To minimize disputes and ensure information security during handover, the parties must adopt appropriate legal and technical measures.

1. How should the data transfer process be stipulated in the contract?

Under Article 398 Civil Code 2015, the contract should clearly specify:

  • The scope of data to be transferred
  • Method of transfer (online, via storage devices, or through a management system)
  • Verification timeline
  • Confidentiality responsibility
  • Handover and acceptance record

2. Is quality inspection required before data transfer?

There is no mandatory regulation requiring pre-transfer quality inspection. However, such an inspection helps detect errors, inconsistencies, or security risks before operation.

Under Article 30 of the Law on Consumer Protection 2023, failure to conduct inspection leading to data loss may constitute a breach of quality assurance obligations. 

3. What if the transferred data contains trade secrets?

If the data involves trade secrets, the transfer must comply with Articles 84 and 85 of the Law on Intellectual Property 2005 (amended 2022), meaning that disclosure is limited to the agreed scope and must be protected. The recipient must not disclose, copy, or transfer such data to third parties without the owner’s written consent. Violations may result in civil, administrative, or criminal sanctions (Articles 202, 211, 212 of the Law on Intellectual Property).

4. What happens if the recipient fails to verify the data?

If the recipient does not inspect or confirm data as required, later objections may be rejected.

Where the contract defines verification obligations and response deadlines, dispute resolution will follow those clauses. If not specified, the parties may negotiate, mediate, or submit the case to arbitration or court under Article 317 of the Commercial Law 2005.

5. Is data transfer upon software handover subject to the Law on Cybersecurity and data protection regulations?

All data transfer activities must comply with the Law on Cybersecurity 2015 (amended 2018) and Decree No. 13/2023/ND-CP on personal data protection. The provider must ensure encryption, security, and safe access control during data transmission.
