In the era of digital transformation, software plays a central role in the operations of enterprises, agencies, and organizations.

However, the occurrence of substandard software products, delays in project timelines, or serious system failures highlights the importance of software quality assessment as a crucial step to ensure product stability, safety, and compliance prior to deployment.

II. Understanding software quality assessment

To properly understand the nature and significance of software quality assessment, it is necessary to clarify its definition, objectives, and legal benefits in the process of software development and acceptance.

1. What is software quality assessment?

Software quality assessment refers to the process of determining and measuring the extent to which a software product satisfies specified requirements, objectives, and user needs, including aspects such as functionality, performance, security, and usability. The goal is to ensure that the software operates accurately, reliably, and provides an optimal user experience.

2. Why is software quality assessment necessary?

Software quality assessment is essential from both technical and legal perspectives, specifically:

  • Ensuring stable operation: It helps detect and rectify errors early, ensuring that software functions as required and avoiding service interruptions.

1. How does software quality assessment help protect one’s rights?

Software quality assessment allows enterprises to identify and address existing errors in time, ensuring products meet usage requirements. It serves as a basis for acceptance, payment, and warranty, thereby minimizing legal risks in the event of disputes.

For consumers, it constitutes legal evidence to determine whether the supplier has fulfilled contractual commitments. Pursuant to Article 19 of the Law on Protection of Consumer Rights 2023, consumers have the right to request repair, replacement, refund, or compensation if software fails to meet quality standards or poses security and safety risks. Moreover, Article 303 of the Commercial Law 2005 entitles the injured party to claim damages if the product fails to comply with agreed standards. Specifically:

For enterprises:

  • Identifies and rectifies defects to ensure software meets technical and quality requirements.
  • Serves as a legal basis for acceptance, payment, and warranty, ensuring compliance with contractual terms.
  • Reduces legal risks in disputes concerning product or service quality.

For consumers:

  • Under Article 4 of the Law on Protection of Consumer Rights 2023, consumers have the right to request repair, replacement, refund, or compensation for substandard or unsafe software.

Under Clauses 1, Articles 32 and 34 of the Law on Protection of Consumer Rights 2023, business entities (individuals or organizations) are obliged to recall, remedy, and compensate for damages if defective software or products infringe consumer rights.

Entering into a separate contract or annex for software quality assessment helps define technical standards, responsibilities, and assessment costs, serving as the legal basis for acceptance and payment. Pursuant to Article 398 of the Civil Code 2015, parties may freely agree on the content, scope, and form of a separate service contract.

  • Lack of evidence to determine liability, making it difficult to protect their interests in disputes;

2. If serious errors are found during the quality assessment, can acceptance be refused?

Acceptance may be refused if the assessment reveals serious errors, as it constitutes a breach of contract and failure to meet the agreed quality standards.

3. Who is primarily responsible for software quality assessment upon delivery?

Typically, the purchaser or an independent assessment organization is primarily responsible for conducting software quality assessments. However, the supplier must cooperate and take costs if the errors are attributable to them, unless otherwise agreed by the parties.

4. If the client disagrees with the assessment results, may they request re-evaluation?

Under Article 16 of the Law on Protection of Consumer Rights 2023, consumers may request re-evaluation if they suspect that the assessment results are inaccurate or biased. The parties may also agree to engage an independent third party for supplementary assessment.
