However, supplementary clauses play a crucial role in specifying, complementing, and addressing potential cases that may arise during contract performance, thereby helping reduce disputes and ensuring that the contract is fully and effectively enforced.

However, supplementary clauses play a crucial role in specifying, complementing, and addressing potential cases that may arise during contract performance, thereby helping reduce disputes and ensuring that the contract is fully and effectively enforced.

I. The importance of supplementary clauses in commercial contracts (business contracts)

If the principal clauses form the structural framework of a contract, then supplementary clauses serve as the detailed components that enable the contract to operate in a substantive and comprehensive manner. Through supplementary clauses, the parties can define specific responsibilities, measures to resolve matters, or responses to exceptional circumstances. It not only helps prevent disputes but also enhances contractual flexibility.

For example, in a purchase and sale contract of goods, the principal clauses typically state the subject matter, quantity, quality, and price. Meanwhile, supplementary clauses may deal with packaging, delivery methods, complaint deadlines, or detailed warranty provisions. Without these supplementary terms, when disputes arise, the law may have to review the contract based on general principles, which can disadvantage one of the parties.

II. Legal regulations on supplementary clauses in commercial contracts (business contracts)

The Civil Code 2015 and the Commercial Law 2005 are the fundamental legal documents governing contractual relations, including supplementary clauses in commercial contracts (business contracts).

1. What are supplementary clauses in a commercial contract (business contract)?

In commercial contracts (business contracts), supplementary clauses are commonly understood as contractual appendices attached to the main contract to supplement, clarify, or amend the agreed terms. They possess the same legal effect as the principal contract provided that they do not contradict the principal terms and are mutually accepted by the parties (Clause 4, Article 402 and Article 403 of the Civil Code 2015). A contract appendix helps complete the contract and protect the parties’ interests without requiring execution of an entirely new agreement.

2. Are supplementary clauses mandatory in commercial contracts (business contracts)?

Current legislation does not require commercial contracts (business contracts) to include supplementary clauses. The inclusion of such clauses depends entirely on the parties’ agreement. However, contracts containing only principal terms often lack specificity, and when disputes arise, the burden of proof becomes more difficult. Consequently, although not mandatory, most professional enterprises choose to incorporate supplementary clauses to minimize risks.

3. How are supplementary clauses regulated by law?

Supplementary clauses in commercial contracts (business contracts) are directly regulated by law. Specifically, Article 403 of the Civil Code 2015 provides that supplementary clauses may not contradict the principal terms of the contract. Their legal validity depends on the principal contract and the parties’ agreement, as they serve only to supplement, clarify, or anticipate contractual issues. Moreover, the Commercial Law 2005 affirms the parties’ freedom to agree on contract terms, including supplementary clauses so long as such agreements do not violate statutory prohibitions or social morality (Articles 11 to 15).

III. Questions on supplementary clauses in commercial contracts (business contracts)

1. What happens if the supplementary clause conflicts with the principal clause?

Under Clause 2, Article 403 of the Civil Code 2015, if the supplementary clause contradicts or conflicts with the principal clause in the commercial contract (business contract), the supplementary clause will have no effect and the principal clause will remain enforceable (unless otherwise agreed by the parties).

However, if the parties expressly accept an appendix containing terms that contradict the principal contract, such acceptance is deemed an amendment to the principal terms, and the contract is considered modified in accordance with the appendix.

2. If the commercial contract (business contract) is invalid, do the supplementary clauses remain effective?

When the commercial contract (business contract) is declared invalid, the validity of the supplementary clauses depends on the nature of their relationship with the principal contract. According to Article 407 of the Civil Code 2015, the invalidity of a supplementary contract does not automatically invalidate the principal contract, unless the parties agree that the supplementary clauses form an inseparable part of the principal agreement.

3. Do supplementary clauses have the same legal effect as principal clauses?

Supplementary clauses (or appendices) in commercial contracts (business contracts) have the same legal effect as the principal terms. It is considered an integral part of the contract, serving to explain or detail in the principal terms, and its contents bind the parties in the same manner as the main contract.

4. What matters are typically regulated in supplementary clauses?

Supplementary clauses are often used to regulate practical issues such as timelines and methods of delivery, product warranty and maintenance, procedures for handling force majeure, additional sanctions, complaint procedures, or dispute resolution mechanisms. These issues may arise during contract performance and therefore require detailed arrangements. 

5. Is a party considered in breach if it fails to perform a supplementary clause?

Failure to perform a supplementary clause constitutes a breach of contract. Under Article 351 of the Civil Code 2015, a party that fails to perform or improperly performs any contractual obligation, including obligations under supplementary clauses, is liable for civil compensation or other agreed sanctions.

The severity of the breach and the applicable remedial measures depend on the specific contents of the supplementary clause and the parties’ additional agreements as well as legal regulations.
